Want to Change the World? Choose the Right Structure First Time—Or Pay for It Later.

One of my clients came to me frustrated and burnt out. They’d spent weeks trying to choose the right legal structure for their social enterprise. “CIC? Charity? CLG? Cooperative? B-Corp? Agh, the options are endless,” she exclaimed, “and every option comes with trade-offs that no one explains clearly.”

If you’re starting a purpose-driven organisation, your goals are interconnected and complex. You want to:
Make a difference and do meaningful work.
Be financially & environmentally sustainable.
Attract grants.
Bring in long-term investors.
And probably (let’s be honest) retain some level of control.
The problem? No single structure ticks all those boxes. Picking the wrong one can cost you dearly, in terms of time and money, and miss opportunities.
That’s why I tell clients: before you pick a legal structure, get absolutely clear on your ultimate goal.
* Not just what you do, but what success looks like in 5 or 10 years.
* Do you want to grow and attract investment?
* What does growth mean for you?
* Do you need full control, or are you happy to have a board or trustees involved?
* Is grant funding essential, or a bonus?
* Will you ever sell this business or pass it on?
These questions are hard, but they’re essential. My client was going in circles until we stripped everything back to that one core issue: What are you really trying to achieve—and for whom?
Once you know that, the right structure often becomes clear. Until then, you’re just comparing legal forms without context.
And here’s the thing: if you get it wrong, changing your governance structure later can be a nightmare. It often means a complete organisational overhaul, new registrations, new bank accounts, renegotiating contracts, and professional fees that quickly mount up.
My advice? Before you set up your legal structure, talk to someone who understands the landscape and knows what questions to ask. A good mentor, coach, or legal expert can help you navigate the options and choose one that’s aligned with your mission from the start.
